The agreements that hold a business together — drafted carefully, reviewed honestly, negotiated with the commercial outcome in mind.
A good contract does two things: it captures the commercial deal accurately, and it tells you what happens when something goes wrong.
We draft, review, and negotiate commercial agreements for founders, SMEs, and established businesses in Kuala Lumpur. The work ranges from a one-page NDA to a multi-party shareholders' agreement — and we approach each with the same question first: what is this agreement actually for?
Most clients come to us in one of three situations. They've drafted something themselves and want a second pair of eyes. They've been handed a contract by a counterparty and want to know what they're agreeing to. Or they need an agreement built from scratch.
In each case, we want to understand the commercial deal before we touch the wording. The drafting is the easy part — the value is in the reading of risk, the framing of the negotiation, and the small clauses that will matter in two years if something goes sideways.
Most contract negotiations don't need to be adversarial. We aim to close deals, not posture through them. Where positions need to be held firmly, we hold them. Where a position is more comfort than commerce, we say so.
Founders putting structure around an early business. Companies entering partnerships and joint ventures. Established SMEs reviewing standard terms. Suppliers and customers negotiating large contracts. Family businesses formalising long-standing arrangements.
Our corporate and contract work spans a wide range of sectors and clients. We have been officially appointed as legal service provider for Institute for Youth Research Malaysia (IYRES) to review and vet national research project agreements. We acted as legal counsel for JW Legacy Sdn. Bhd. on the contractual and compliance framework for the NDX AKA Tour Malaysia 2025. We provided cross-border corporate advisory to STV Co., Ltd (Japan) in respect of its Malaysian subsidiary. We also act as panel solicitors for DV Homes Sdn. Bhd. in preparing Sale & Purchase Agreements and Loan Agreements for property development projects.
Not always — but the contracts where it matters most are usually the ones that look standard. A contract that defines a long-term relationship, allocates serious risk, or commits a meaningful sum deserves a careful read by someone whose job it is to read them carefully.
You can — but templates rarely reflect Malaysian law cleanly, and they almost never reflect your specific commercial deal. A template is a starting point at best. The risk is signing something that looks comprehensive but doesn't do what you think it does.
A simple NDA or service agreement can be ready within days. More complex agreements — shareholders' agreements, joint ventures — take longer, both for our drafting and for the inevitable negotiation. We'll give a realistic timeline once we understand the deal.
No. We act for one party and represent their interests. We can recommend competent counsel for the other side if needed.
Some work is well-suited to a fixed fee (NDAs, standard service agreements). More complex matters are billed by reference to time. We give a clear estimate up front and flag any change in scope before it shows up on an invoice.
Send it over. We'll read it carefully and tell you what's worth pushing on.
